Ompliify is an AI-first solutions company. Depending on the engagement, our services may include:
AI strategy and roadmapping.
Workflow and operations automation.
Digital systems and technical delivery, including websites, dashboards, and internal tools.
The specific scope, deliverables, and timeline for any engagement are defined separately in a project agreement or proposal, which takes precedence over these general Terms where the two conflict.
3. CLIENT ACCOUNTS AND COMMUNICATION
3.1 Access
Where a project involves shared tools, logins, or a client portal, you agree to provide accurate, current, and complete information when access is set up.
3.2 Responsibility
You are solely responsible for maintaining the confidentiality of your account credentials. All activity under your account is your responsibility. You must notify Ompliify immediately of any unauthorized use.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 Ompliify's Pre-Existing IP
Our internal methodology, frameworks, and any general-purpose tools or code we bring into a project remain the exclusive property of Ompliify and its licensors.
4.2 Client Deliverables
Upon full payment, you own the custom code, designs, and systems built specifically for your business as part of the engagement, subject to compliance with these Terms and any applicable project agreement.
4.3 Your Data
Any business data you share with us remains yours. We use it only to deliver the agreed services and will not repurpose it for other clients.
5. ACCEPTABLE USE POLICY
When using this website or working with us, you agree not to:
Unlawful Content: Submit content that is defamatory, obscene, or promotes violence through our contact forms or shared tools.
Infringement: Use the Service to violate the intellectual property rights of others.
Malware: Upload viruses or malicious code designed to disrupt the Service.
Reverse Engineering: Attempt to extract the source code or underlying logic of any system we've built.
Automated Scraping: Use bots or scripts to scrape data from this website without authorization.
6. FEES AND PAYMENTS
6.1 Project Fees
Fees are agreed per engagement — a fixed project fee, milestone-based payments, or an ongoing support arrangement — and set out in your proposal or contract. Invoices are due per the terms stated there.
6.2 Refunds
Except as required by law or otherwise agreed in writing, payments already made for work performed are non-refundable. We reserve the right to change our pricing for future engagements, with notice provided to active clients.
7. TERMINATION
Either party may terminate an engagement per the terms of the applicable project agreement. We reserve the right to suspend access to any shared systems if these Terms are materially breached.
8. LIMITATION OF LIABILITY
To the extent permitted by law, in no event shall Ompliify, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, resulting from:
Your access to or use of the Service.
Any conduct or content of any third party on the Service.
Any content obtained through the Service.
Unauthorized access, use, or alteration of your data or content.
9. DISCLAIMER OF WARRANTIES
We build every system carefully, but outcomes from automation and AI-first systems depend on your business's specific data and processes. The Service is provided on an "as described in your engagement" basis. Ompliify makes no warranties, expressed or implied, beyond what is explicitly agreed in writing, and does not guarantee that any system will meet every future requirement or operate uninterrupted or error-free.
10. GOVERNING LAW
These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
11. PRIVACY POLICY
Your use of the Service is also governed by our Privacy Policy. Please review it to understand our practices regarding the collection and use of your information.
12. MODIFICATIONS TO TERMS
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
